These terms form a business to business service agreement between Boztech Limited trading as RangePilot ("RangePilot", "Boztech Limited", "we", "us") and the client business ("you", "your").

Boztech Limited (company number 8497785) is the supplier of RangePilot services.

By accepting a RangePilot proposal, you confirm you have read and agree to these terms.

The accepted proposal and these terms form the full agreement. In the event of conflict, the accepted proposal takes priority.

The setup fee covers the agreed build and launch of the RangePilot system as described in the accepted proposal scope.

The setup fee is for the agreed scope only. Work outside the agreed scope will be quoted separately before it begins.

The setup fee does not include source code transfer, client-owned hosting, self-hosting, or lifetime access.

Setup begins after onboarding details are received, approved, and any applicable payment terms are met.

Monthly support covers hosting, maintenance, updates, and support for the agreed RangePilot system.

Monthly support is not unlimited new development. Small updates and minor adjustments may be included within reasonable support limits at RangePilot's discretion.

Larger changes, new workflows, integrations, advanced features, or major scope changes are not included in monthly support and will be quoted separately.

RangePilot does not charge per lead and does not take commission on your sales, enquiries or revenue.

Monthly support has a minimum period after the system launches (typically 3 months, as stated in your accepted proposal).

After the minimum support period, monthly support continues month to month. Either party may cancel with 30 days written notice.

The RangePilot system is hosted and managed by Boztech Limited trading as RangePilot. You do not need to manage hosting.

Ongoing access to the RangePilot system depends on active monthly support. If monthly support ends, hosted access ends.

The RangePilot system is proprietary software. Source code is not transferred to the client.

Client-owned hosting, self-hosting, and lifetime hosting are not included and are not available under these terms.

The agreed scope is described in the accepted proposal. Work outside the agreed scope requires a separate written agreement and quote.

Items listed as excluded in the proposal are not included unless agreed separately in writing.

Some RangePilot features may use third party tools or platforms. Third party fees are the client's responsibility unless the proposal states otherwise.

RangePilot is not responsible for changes, outages, or discontinuation of third party services.

You are responsible for checking and following up your own leads and business enquiries in a timely manner.

You are responsible for monitoring your admin dashboard, email inboxes, spam folders, phone, and other business channels regularly.

You are responsible for providing accurate and complete information during onboarding and throughout the engagement.

You are responsible for your own business decisions, including decisions based on data or outputs from the RangePilot system.

Boztech Limited will take reasonable care in setting up and supporting the agreed email sending process.

Email delivery can be affected by third party systems, spam filtering, domain settings, inbox settings, and provider outages. These factors are outside Boztech Limited's reasonable control.

To the maximum extent permitted by law, Boztech Limited is not liable for lost leads, lost enquiries, lost sales, lost revenue, lost profit, or loss of opportunity caused by email delivery failures, delays, or spam filtering.

You are responsible for monitoring your own spam folders and email inboxes.

AI features, where included, are used to support summaries, draft wording, classifications, recommendations, or workflow assistance.

AI outputs may be incomplete, incorrect, or unsuitable for your situation and should be reviewed by a person where the decision is important.

Boztech Limited is not responsible for business losses caused by relying on AI output without appropriate human review.

You own your lead data and enquiry information collected through the RangePilot system.

Lead data can be exported on request.

Boztech Limited will handle lead data with reasonable care and in accordance with applicable New Zealand privacy law.

You must use the RangePilot system for lawful business purposes only.

You must not use the system to publish, send, or store content that is unlawful, misleading, defamatory, offensive, or in breach of any applicable law.

You are responsible for keeping your admin access credentials secure.

Serious or repeated misuse may result in suspension or termination without prior notice.

Invoices must be paid by the due date stated on the invoice or proposal.

All fees are in New Zealand dollars and are stated exclusive of GST unless clearly stated otherwise.

Boztech Limited may pause setup, support, hosting, email sending, or access if invoices remain unpaid after reasonable notice.

If an invoice remains unpaid after the due date, Boztech Limited may pause work, support, hosting, email sending, or access after giving reasonable notice.

If Boztech Limited has to take formal steps to recover an overdue amount, including using a debt collection agency, solicitor, tribunal, or court, you agree to pay the overdue amount plus reasonable recovery costs that Boztech Limited incurs, to the extent those costs are legally recoverable.

Recoverable costs may include reasonable debt collection fees, legal costs, filing fees, enforcement costs, and administration costs.

Boztech Limited will act reasonably and give you a fair opportunity to resolve overdue invoices before formal recovery action where practical.

Admin note: Debt recovery wording should be reviewed by a New Zealand lawyer before full commercial use.

Boztech Limited trading as RangePilot supplies RangePilot to business clients for business use.

By accepting a proposal, you confirm that you are acquiring the services in trade and for business purposes.

To the extent legally permitted, the parties agree to contract out of the Consumer Guarantees Act 1993.

Nothing in these terms limits any rights or obligations that cannot legally be excluded, including rights under the Fair Trading Act 1986.

Admin note: Business use and Consumer Guarantees Act contracting out wording should be reviewed by a New Zealand lawyer before full commercial use.

RangePilot is designed to support your lead, quote and workflow process, but it does not guarantee that you will receive any particular number of leads, enquiries, quotes, sales, bookings, projects, or revenue.

To the maximum extent permitted by law, Boztech Limited is not liable for lost leads, lost enquiries, lost sales, lost work, lost revenue, lost profit, loss of opportunity, loss of goodwill, loss of business, business interruption, or similar business losses, whether arising in contract, tort, or otherwise.

Boztech Limited is not responsible for losses caused by the client failing to monitor their leads, inboxes, admin dashboard, spam folders, website, phone, follow-up process, or other business channels.

Boztech Limited is not responsible for losses caused by third party tools, third party outages, internet outages, hosting provider issues, payment provider issues, DNS issues, domain provider issues, browser issues, device issues, or other systems outside Boztech Limited's reasonable control.

Boztech Limited is not responsible for losses caused by inaccurate client supplied information, delayed client approvals, client supplied content, unlawful client content, or the client's own business decisions.

To the maximum extent permitted by law, Boztech Limited's total liability for setup-related claims is limited to the setup fee paid for the affected setup. For monthly support-related claims, liability is limited to the monthly support fees paid in the 3 months before the event giving rise to the claim.

Nothing in these terms excludes or limits any right or remedy that cannot lawfully be excluded or limited, including rights under the Fair Trading Act 1986.

Admin note: Business loss, lost lead, email delivery, and liability cap wording should be reviewed by a New Zealand lawyer before full commercial use.

You agree to indemnify and hold harmless Boztech Limited from any claim, loss, damage, cost, or liability arising from your use of the RangePilot system in breach of these terms, including claims arising from unlawful client content or misuse of the system.

This indemnity applies to the extent permitted by law.

Either party may cancel monthly support after the minimum support period with 30 days written notice.

If monthly support ends, hosted access to the RangePilot system ends at the close of the paid period.

On termination, lead data can be exported on request within a reasonable period before the system is decommissioned.

Reactivation of the system after cancellation may require a new setup or update fee.

Both parties agree to attempt to resolve any dispute in good faith before initiating formal proceedings.

Either party may refer a dispute to mediation if informal resolution fails.

If a dispute cannot be resolved, either party may pursue resolution through appropriate legal channels in New Zealand.

These terms are governed by the laws of New Zealand.

Any disputes are subject to the exclusive jurisdiction of the New Zealand courts.

RangePilot may update these terms for future proposals. Updated terms apply to new proposals only.

The terms accepted at the time of signing are locked to that proposal acceptance record and are not changed by later term updates.

Acceptance of a RangePilot proposal is recorded as an electronic proposal acceptance, not as a signature through an external digital signing service.

The acceptance record includes the signatory's full name, email, business name, role, typed signature, authority confirmation, electronic consent, IP address, user agent, timestamp, and a snapshot of the proposal and these terms as they were at the time of acceptance.
